1. Acceptance of Terms

By accessing or using the PodClip AI website and services ("Service"), operated by Guangzhou Leyitui Technology Co., Ltd. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. You must be at least 18 years old to use this Service.

2. Service Description & AI Disclaimer

PodClip AI provides an AI-powered tool for analyzing long-form content and generating short video highlights. By using the Service, you acknowledge and agree that:

  • AI Limitations: The Service uses artificial intelligence which may produce errors, inaccuracies, or unexpected results ("hallucinations"). You should verify any output before publishing.
  • No Guarantee of Virality: We do not guarantee that the generated clips will be "viral," get specific views, or achieve specific performance metrics on social media platforms.
  • Third-Party Dependencies: Service availability is subject to the operational status of third-party providers (e.g., YouTube, Google Gemini API).

3. Intellectual Property Rights

Your Content: You retain all ownership rights to the videos (YouTube URLs) you submit to PodClip AI. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize PodClip AI to process your content.

Generated Output: Subject to your compliance with these Terms and payment of applicable fees, PodClip AI assigns to you all right, title, and interest in and to the specific video clips generated for you by the Service.

Platform IP: PodClip AI retains all rights to the underlying software, algorithms, interface, and branding.

4. Payments, Credits, and Refunds

The Service operates on a pre-paid credit system.

  • Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. All billing inquiries will be handled by Paddle.
  • Refunds: All refunds are processed at the sole discretion of Paddle in accordance with their Consumer Terms. Please review our Refund Policy for more details on how this applies to digital goods.
  • Chargebacks & Disputes: You agree to contact our support team to resolve any billing issues before disputing a charge with your bank. If you initiate a chargeback or payment dispute, your account will be immediately and permanently suspended, and all remaining credits will be voided.
  • No Cash Value: Credits purchased have no monetary value and are non-transferable.

5. Prohibited Uses

You agree not to use the Service:

  • To process content that is illegal, defamatory, sexually explicit, or promotes violence.
  • To infringe upon the copyright, trademark, or other intellectual property rights of others.
  • Violation of Third-Party Terms: When using YouTube URLs, you must comply with YouTube's Terms of Service. You represent that you have the right to process the provided YouTube content.
  • To attempt to reverse engineer, decompile, or extract source code from the Service.
  • To use the Service for high-volume automated scraping or in a manner that disrupts our infrastructure.

6. Limitation of Liability

In no event shall PodClip AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms (e.g., processing copyrighted content without permission or initiating a payment dispute/chargeback).

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
